(NYSE:BSC)<\/p>\n<p>  &#8212; Annual Earnings Per Share of $8.52 and Net Income of $1.2<\/p>\n<p>  Billion, Rose 32% over 2002<\/p>\n<p>  &#8212; 2003 Annual Pre-Tax Profit Margin Hits 29.6%<\/p>\n<p>  &#8212; 2003 Annual ROE Reaches 20.2%<\/p>\n<p>  &#8212; 4th Quarter Earnings Per Share Increase 61% to $2.19<\/p>\n<p>  &#8212; Net Income for the Quarter Rises 51% to $288.3 Million<\/p>\n<p>  The Bear Stearns Companies Inc. (NYSE:BSC) today reported earnings per share (diluted) of $2.19 for the fourth quarter ended November 30, 2003, up 61.0% from $1.36 per share for the fourth quarter  of 2002. Net income for the fourth quarter of 2003 was $288.3 million, up 51.3% from $190.5 million for the fourth quarter of 2002. Net revenues for the 2003 fourth quarter were $1.5 billion, up  35.9% from $1.1 billion for the 2002 fourth quarter. The annualized return on common stockholders&#8217; equity for the fourth quarter of 2003 was 19.6%.<\/p>\n<p>  For the fiscal year ended November 30, 2003, earnings per share (diluted) were a record $8.52, up 31.7% from $6.47 in the prior year. Net income for the full year was $1.2 billion, up 31.7% from  the $878.3 million earned in the twelve-month period ended November 30, 2002. Net revenues for fiscal year 2003 were $6.0 billion, an increase of 16.9% from $5.1 billion in the prior fiscal year.  After-tax return on common stockholders&#8217; equity was 20.2% for 2003.<\/p>\n<p>  &#8220;Bear Stearns posted its best ever results in 2003. In the face of difficult market conditions our array of businesses once again produced outstanding results,&#8221; said Bear Stearns chairman and chief  executive officer, James E. The increase in profit margins and return on common equity reflect both the growth and diversification of our businesses as well as our continued focus on risk and expense control.&#8221;<\/p>\n<p>  A brief discussion of the firm&#8217;s business segments follows:<\/p>\n<p>  CAPITAL MARKETS<\/p>\n<p>  Fourth Quarter<\/p>\n<p>  Capital Markets net revenues for the fourth quarter of 2003 were $1.2 billion, up 38.8% from $839.6 million for the fourth quarter ended November 30, 2002.<\/p>\n<p>  &#8212; Institutional Equities net revenues were $266.3 million, down<\/p>\n<p>  5.7% from $282.4 million for the fourth quarter of 2002. Lower<\/p>\n<p>  volume on the NYSE and depressed volatility levels reduced<\/p>\n<p>  institutional equities net revenues. Equity derivatives<\/p>\n<p>  revenues rose on improved customer activity.<\/p>\n<p>  &#8212; Fixed Income net revenues were $648.9 million, up 39.9% from<\/p>\n<p>  $463.9 million in the comparable prior year period. Low<\/p>\n<p>  interest rates and a steep yield curve continued to create<\/p>\n<p>  positive market conditions across the Fixed Income businesses,<\/p>\n<p>  including mortgage-backed securities and credit products. Net<\/p>\n<p>  revenues increased significantly reflecting these favorable<\/p>\n<p>  markets and increased customer activity. In addition, record<\/p>\n<p>  revenues were posted this quarter in interest rate products,<\/p>\n<p>  particularly in interest rate derivatives and foreign<\/p>\n<p>  exchange.<\/p>\n<p>  &#8212; Investment Banking net revenues were $250.3 million in the<\/p>\n<p>  fourth quarter of 2003, up 168.3% from the $93.3 million in<\/p>\n<p>  the comparable prior year period. The 2003 fourth quarter<\/p>\n<p>  included a $33.7 million realized gain from the sale of a<\/p>\n<p>  merchant banking investment in Aeropostale Inc. The fourth<\/p>\n<p>  quarter of 2002 included a $33.9 million unrealized loss<\/p>\n<p>  relating to a mark down of this investment. Excluding the<\/p>\n<p>  investment, Investment Banking net revenues in the quarter<\/p>\n<p>  were $216.6 million, up 70.3% from $127.2 million in fourth<\/p>\n<p>  quarter of 2002. Performance in equity underwriting, high<\/p>\n<p>  yield underwriting and merchant banking significantly<\/p>\n<p>  increased revenues when compared with the fourth quarter of<\/p>\n<p>  2002.<\/p>\n<p>  Full Year<\/p>\n<p>  Net revenues in Capital Markets, which includes Institutional Equities, Fixed Income and Investment Banking, were a record $4.8 billion for the fiscal year ended November 30, 2003, an increase of  22.3% over the prior fiscal year&#8217;s $3.9 billion.<\/p>\n<p>  &#8212; Institutional Equities net revenues for fiscal year 2003 were<\/p>\n<p>  down 16.6% to $932.6 million from $1.12 billion in fiscal<\/p>\n<p>  2002. Difficult market conditions had a negative effect on net<\/p>\n<p>  revenues from domestic institutional equities and convertible<\/p>\n<p>  and other equity arbitrage activity.<\/p>\n<p>  &#8212; The Fixed Income Division reported record results for the<\/p>\n<p>  third consecutive year, highlighting the strength and breadth<\/p>\n<p>  of the franchise. Record net revenues were posted in virtually<\/p>\n<p>  all product areas including corporate bonds, interest rate<\/p>\n<p>  products, high yield and distressed bonds, government bonds,<\/p>\n<p>  foreign exchange and mortgage-backed securities. Fixed Income<\/p>\n<p>  net revenues were $2.9 billion, up 51.0% from the $1.9 billion<\/p>\n<p>  recorded in 2002.<\/p>\n<p>  &#8212; Investment Banking net revenues for 2003 were $961.3 million,<\/p>\n<p>  up 8.8% from $883.7 million in fiscal 2002. Included in net<\/p>\n<p>  revenues are gains from the company&#8217;s merchant banking<\/p>\n<p>  investment in Aeropostale Inc. of $172.6 million in fiscal<\/p>\n<p>  year 2003 and $226.9 million in fiscal year 2002. Excluding<\/p>\n<p>  the merchant banking gains from Aeropostale Inc., net revenues<\/p>\n<p>  for fiscal 2003 were $788.7 million and for fiscal 2002 were<\/p>\n<p>  $656.8 million. The increase in revenues was primarily due to<\/p>\n<p>  an extremely strong performance in high yield underwriting. In<\/p>\n<p>  addition, merger and acquisition and advisory fees grew<\/p>\n<p>  significantly as compared with fiscal 2002.<\/p>\n<p>  GLOBAL CLEARING SERVICES<\/p>\n<p>  Fourth Quarter<\/p>\n<p>  Fourth quarter 2003 Global Clearing Services net revenues were $220.0 million, up 22.0% from $180.3 million in the fourth quarter of 2002, reflecting increased net interest revenues. Average  customer margin debt balances for the quarter ended November 30, 2003 were $42.0 billion, up from $31.7 billion in the prior year quarter. Net interest revenue rose as the level of customer margin  debt and customer short balances increased.<\/p>\n<p>  Full Year<\/p>\n<p>  Net revenues in Global Clearing Services were $784.1 million, up 0.8% from $778.1 million in fiscal 2002. Average customer margin debt balances for the year were $39.8 billion, versus $34.1 billion  for the year ended November 30, 2002. An increase in net interest revenues attributable to higher customer margin balances was substantially offset by reduced commission revenues as customer  volumes declined.<\/p>\n<p>  WEALTH MANAGEMENT<\/p>\n<p>  Fourth Quarter<\/p>\n<p>  Wealth Management net revenues for the quarter ended November 30, 2003 were $145.0 million, up 16.5% from $124.5 million in the fourth quarter of 2002.<\/p>\n<p>  &#8212; Private Client Service revenues were $105.1 million in the<\/p>\n<p>  fourth quarter of 2003, an increase of 21.5% from $86.5<\/p>\n<p>  million in the 2002 quarter reflecting improved customer<\/p>\n<p>  activity.<\/p>\n<p>  &#8212; Asset Management net revenues grew 5.0% to $39.9 million for<\/p>\n<p>  the fourth quarter of 2003 from $38.0 million in the prior<\/p>\n<p>  year&#8217;s quarter due to increased management fees.<\/p>\n<p>  Full Year<\/p>\n<p>  Net revenues in Wealth Management, which includes Private Client Services and Asset Management, were $511.3 million for fiscal 2003, up 2.6% versus $498.4 million in fiscal 2002.<\/p>\n<p>  &#8212; Revenues from the Private Client Service area rose 5.6% to<\/p>\n<p>  $378.8 million for the fiscal year from $358.8 million for<\/p>\n<p>  fiscal 2002. The improvement reflects an increase in customer<\/p>\n<p>  activity.<\/p>\n<p>  &#8212; The Asset Management business reported revenues of $132.5<\/p>\n<p>  million for the full fiscal year 2003 down 5.1% from $139.6<\/p>\n<p>  million in the prior year due to lower performance fees on<\/p>\n<p>  alternative investment products.<\/p>\n<p>  &#8212; Assets under management rose to $27.1 billion as of November<\/p>\n<p>  30, 2003 from $24.0 billion as of November 30, 2002.<\/p>\n<p>  EXPENSES<\/p>\n<p>  Fourth Quarter<\/p>\n<p>  &#8212; Compensation as a percentage of net revenues was 48.9% in the<\/p>\n<p>  fourth quarter of 2003 versus 50.2% for the quarter ended<\/p>\n<p>  November 30, 2002.<\/p>\n<p>  &#8212; Non-compensation expenses were $345.6 million for the quarter<\/p>\n<p>  ended November 30, 2003, up 19.7% from $288.9 million in the<\/p>\n<p>  2002 quarter. The increase in non-compensation expenses were<\/p>\n<p>  principally attributable to higher CAP Plan expenses<\/p>\n<p>  associated with improved earnings. Non-compensation expenses<\/p>\n<p>  as a percentage of net revenues declined to 22.6% for the 2003<\/p>\n<p>  fourth quarter from 25.6% for the fourth quarter of 2002.<\/p>\n<p>  Full Year<\/p>\n<p>  &#8212; For the twelve months ended November 30, 2003, compensation as<\/p>\n<p>  a percentage of net revenues was 48.1% versus 48.9% for fiscal<\/p>\n<p>  2002. Excluding the merchant banking gains from Aeropostale<\/p>\n<p>  Inc., compensation as a percentage of net revenues was 49.2%<\/p>\n<p>  for the fiscal year 2003 and 50.9% for the fiscal year 2002.<\/p>\n<p>  &#8212; Non-compensation expenses for the fiscal year 2003 were $1.34<\/p>\n<p>  billion, 2.5% higher than the $1.31 billion reported in 2002.<\/p>\n<p>  Non-compensation expense as a percentage of net revenues for<\/p>\n<p>  fiscal 2003 declined to 22.4% from 25.5% in fiscal 2002.<\/p>\n<p>  As of November 30, 2003, total capital, including stockholders&#8217; equity and long-term borrowings, was approximately $37.5 billion. Book value as of November 30, 2003 was $48.69 per share, based on  142.4 million shares outstanding.
