Haniel will retain a 10% minority stake. The transaction is subject to customary regulatory approvals and is expected to close in the first quarter of 2027.<\/p>\n<p>BauWatch is headquartered in Apeldoorn, the Netherlands, and operates across 12 European markets with more than 15,000 active surveillance systems. Under Haniel ownership since 2021, revenue grew from \u20ac59 million to \u20ac153 million in 2025. Equity for Carlyle\u2019s investment will come from the Carlyle Europe Partners platform; CVC DIF\u2019s equity comes from its Value-Add IV fund. Reuters coverage has described the buyers as each taking about 45% alongside Haniel\u2019s 10% residual.<\/p>\n<p>This is a signed agreement pending closing, not a completed change of control. Mark the Carlyle\u2013CVC DIF buy, Haniel\u2019s 10% retain, the Q1 2027 expected close, the Apeldoorn \/ 12-market \/ >15,000-systems footprint, the \u20ac59m-to-\u20ac153m revenue path, and the CEP \/ Value-Add IV equity sources as sourced.
