Audax Private Debt Closed Direct Lending Solutions Fund III at Its $5.4 Billion Hard Cap

HedgeCo.Net — Audax Private Debt on September 30, 2026 announced the final close of Audax Direct Lending Solutions Fund III at its $5.4 billion hard cap in equity commitments, above a $4 billion target, according to the firm’s Business Wire release and Alternatives Watch. Including targeted leverage, related co-investing vehicles, and the general partner commitment, the firm said DLS Fund III represents $10 billion of investable capital, the largest fundraise in its history.

Equity commitments were nearly double those of DLS Fund II, which closed in 2022 on $3 billion of equity and more than $5 billion of investable capital. The fund lends to private equity-owned middle market companies, committing up to $350 million per transaction, and has already committed about $1.5 billion. More than 100 institutions across North America, Europe, Asia-Pacific, Latin America, and the Middle East participated, including pension funds, sovereign wealth funds, insurers, family offices, and endowments.

With the close, Audax Private Debt manages more than $30 billion of assets and has raised over $47 billion since 2000. CEO Kevin Magid and managing partners Steve Ruby and Rahman Vahabzadeh emphasized selectivity in deployment. Campbell Lutyens acted as placement agent, and Ropes & Gray served as fund counsel.

The timing matters: an oversubscribed institutional direct lending close lands the same week Australian private credit manager Metrics froze some redemptions and as U.S. semi-liquid credit vehicles continue to manage elevated withdrawal requests. The split points to a market where closed-end, sponsor-backed middle market lending is still drawing institutional capital even as investors scrutinize liquidity terms in evergreen and retail-facing credit products.
