HedgeCo.Net — CCC Intelligent Solutions Holdings Inc. said it has signed a definitive agreement to be acquired by a consortium led by GTCR and including Elliott Investment Management in an all-cash transaction with an enterprise value of approximately $6.1 billion. Stockholders will receive $7.75 per share in cash, a premium of about 44% to CCC’s unaffected closing price on July 9, 2026, the last trading day before media speculation about a sale, and about 59% to the 30-day average price as of that date.
Chicago-based CCC provides a SaaS and AI platform for the insurance and repair economy, connecting more than 35,000 insurers, repair facilities, automakers and parts suppliers. Chairman and CEO Githesh Ramamurthy said the board reviewed strategic options with advisors and concluded the deal delivers immediate premium cash value while giving the company partners to accelerate AI and agentic capabilities.
The board approved the transaction, which is expected to close in the first quarter of 2027, subject to customary conditions including regulatory approvals and stockholder approval. The deal is not subject to a financing condition. Upon closing, CCC will become privately held and its common stock will leave Nasdaq.
For private markets, the structure is a familiar activist-plus-buyout pairing: Elliott moves from public shareholder to co-owner alongside a sector-focused sponsor. J.P. Morgan is lead financial advisor to GTCR and lead arranger of committed financing, with Citi also advising and participating in the financing. Morgan Stanley advised CCC; Simpson Thacher counsels GTCR, while Gibson Dunn and Debevoise counsel Elliott.
Until closing, CCC remains public and will release third-quarter 2026 results on October 29 without a conference call. Allocators will watch for the proxy materials, any competing bid and how the consortium finances a vertical software franchise whose data network GTCR and Elliott both highlighted as durable.
