Apollo and KKR Closed a €3 Billion Capital Solution for Bayer’s LARC Business:

HedgeCo.Net — Apollo announced on September 16 that Apollo-managed funds and affiliates have successfully closed a €3 billion capital solution for Bayer that was previously announced on July 10, with KKR joining as a significant minority participant, according to Apollo’s close release as carried on Market Newsdesk and StockTitan and consistent with Bayer’s July 10 structure disclosure. Under the transaction, Apollo together with KKR invested equity capital into a newly established entity holding Bayer’s long-acting reversible contraceptives (LARC) business. Bayer retains a majority stake in the entity and continues to exercise full operational control; the company said there are no changes to the LARC strategy as a result of the investment.

Bayer’s July announcement framed the €3.0 billion equity capital as a balance-sheet / capital-structure solution while keeping LARC inside the Pharmaceuticals Division and fully consolidated. Apollo described the deal through its High Grade Capital Solutions platform as large, flexible, bespoke capital to a blue-chip corporate. Advisors on the July tape included BofA Securities and Deutsche Bank for Bayer and Linklaters; Apollo counsel included Latham & Watkins, Paul Weiss, and NautaDutilh.

This is a closed capital-solutions equity investment, not a full carve-out sale of control. Mark the €3 billion size, the Sep 16 close, KKR’s significant minority participation, Bayer’s majority stake and full operational control, and the LARC perimeter as sourced. Do not invent KKR’s exact check size, an IRR, leverage terms, or a regulatory-clearance chronology beyond the closed status on the Apollo tape. The allocator object is a sponsor-led minority capital solution into a ring-fenced pharma cash-flow perimeter with the corporate retaining ops control.
