Carlyle and CVC DIF Agreed to Acquire BauWatch From Haniel:

HedgeCo.Net — Carlyle and CVC DIF agreed on September 17, 2026 to acquire BauWatch, the European market leader in technology-enabled remote video surveillance, from German family equity company Haniel, according to a CVC press release and Reuters. Haniel will retain a 10% minority stake. The transaction is subject to customary regulatory approvals and is expected to close in the first quarter of 2027.

BauWatch is headquartered in Apeldoorn, the Netherlands, and operates across 12 European markets with more than 15,000 active surveillance systems. Under Haniel ownership since 2021, revenue grew from €59 million to €153 million in 2025. Equity for Carlyle’s investment will come from the Carlyle Europe Partners platform; CVC DIF’s equity comes from its Value-Add IV fund. Reuters coverage has described the buyers as each taking about 45% alongside Haniel’s 10% residual.

This is a signed agreement pending closing, not a completed change of control. Mark the Carlyle–CVC DIF buy, Haniel’s 10% retain, the Q1 2027 expected close, the Apeldoorn / 12-market / >15,000-systems footprint, the €59m-to-€153m revenue path, and the CEP / Value-Add IV equity sources as sourced. Do not invent an enterprise value unless separately attributed.
